Service Agreement

When you hire Vireo Creative, you are engaging us to provide writing, design, and marketing services on either a one-time or subscription basis. Subscriptions auto-renew unless cancelled via the Client Login portal.

What Do Both Parties Agree to Do?

Your Obligations

You agree that you have the authority to enter into this agreement and authorize payment. You will provide all necessary assets and information in the requested formats, review work promptly, and honour agreed-upon deadlines.

Our Obligations

We commit to delivering professional work in a timely manner, meeting agreed deadlines, and maintaining confidentiality of your information.

Our Services

Copywriting & Editing

We provide professional copywriting and editing services. While we strive for accuracy, we cannot guarantee error-free content. Any errors brought to our attention will be corrected at no additional charge.

Social Media Marketing & Management

Social media management requires administrative access to your accounts. All posts are made under your brand's identity and require your approval. Errors will be corrected promptly.

Online Advertising

Ad spend costs are separate from our service fees and are charged directly to your credit card.

Search Engine Optimization

Our SEO services include best practices in web builds, audits of existing sites, Google Business Profile management, Bing Places optimization, and backlink development.

Website Design & Development

  • Design: Layouts are created flexibly to adapt across devices. Designs are developed iteratively using HTML/CSS with visual direction for creative elements.
  • Graphics & Photos: Clients supply editable vector files and high-resolution photos. We license up to 10 Adobe Stock photos per project; additional photos are billed separately.
  • Development: Pages are built with HTML, CSS, and JavaScript for features and cross-browser compatibility.
  • Browser Testing: We test on current versions of major desktop browsers (Apple, Google, Microsoft, Mozilla) and mobile browsers (iOS Safari & Chrome, Android Chrome). Older or additional browsers require a separate estimate.
  • CMS Training: We provide one-on-one or team training via video calls, along with step-by-step reference videos.
  • Accessibility: Our work follows the Web Content Accessibility Guidelines (WCAG) 2.1.

Ongoing Technical Support & Hosting

Hosting subscriptions include:

  • Fully managed hosting with automatic backups
  • Uptime monitoring, security scans, and performance scans
  • SSL certificate and Adobe Fonts subscription
  • 4 monthly ticket requests (non-rolling)

Ticket support covers content updates, client questions, and minor tweaks. Original content creation and new page design are excluded.

Parting Ways

WordPress sites transfer to new hosts at no cost. Webflow sites transfer subscriptions to your account, with ongoing payment becoming your responsibility.

Service Level Agreement

Uptime Guarantee

Your website will be available 99.9% of the time, excluding scheduled maintenance or force majeure events.

Response Times

  • Critical/High: Response within 2 hours; resolution within 24 hours
  • Medium: Response within 8 hours; resolution within 5 business days
  • Low/Trivial: Response within 24 hours; scheduled for future work

Support Channels

Submit requests via our ticket form, [email protected], or 306-292-1819. Regular hours are Monday–Friday, 9 AM–5 PM CST, with evening and weekend availability for critical issues.

Remedies & Exclusions

If we fail to meet SLA targets, remedies may include refunds, credits, or priority escalation. The SLA excludes issues caused by third-party software, force majeure events, or delays from incomplete client information.

Changes & Revisions

All services include revisions. Extensive revisions may extend subscription timelines, and we will notify you in advance if this occurs.

Legal

This agreement cannot be transferred without written permission from both parties. While we strive for excellence, we disclaim all warranties and limit our liability to fees received for the applicable services.

Either party may terminate this agreement for uncured breaches after 15 business days' written notice. Termination triggers invoicing for any accrued fees.

Intellectual Property Rights

You guarantee that you own or have permission to use all materials you provide, and you indemnify us against any third-party claims. We guarantee that our deliverables are owned or properly licensed.

You receive all source and finished files and own the visual elements we create for you. We retain rights to pre-existing work and the overall design combination, licensing its use exclusively for your project.

Displaying Our Work

We reserve the right to display all aspects of our creative work in portfolios, case studies, articles, and other publications.
